If that's true it's quite damning on an organisation that's trying to grow....if true.
But I don't think they will be that fussed if membership has fallen.....it's much easier to control a smaller membership.
I still think they were slightly shocked at the half dozen or so people who spoke out at the hold his feet to the fire meeting.....not the sorta folk they REALLY want attending.
Well, none of that's true in the real world. But then you probably know that.
Thing is if someone who's never met me, and who clearly doesn't know me, wants to spew those types of lies I guess I'll just need to get the big boy pants on and accept it - most others will know completely different. I guess if you're making up lies about me you're leaving others alone?
At the Dee4life AGM in November 2023 a question was asked to the 23 members present.
Would you attend Dundee FC home games at Tannadice Park if Dens Park was sold and Dundee FC were forced to ground share at Tannadice Park.
21 members voted No but amazingly two members voted in favour of attending Dundee FC home games at Tannadice Park.
I know that the Dee4life directors were concerned about getting enough members to attend the AGM being held on Saturday 23rd November 2024 and that was a couple of weeks before it was due to be held.
The rule for a quorum for a Dee4life AGM is 5% of the membership or 20 members present, whichever is the lower.
At last year’s AGM they managed to to have 20 members present at the starting time of the AGM with another three members turning up after it had started.
With the Dee4life board of directors achieving nothing in their attempts to have a meaningful meeting with John Nelms despite John Burke the SLO supposedly trying to broker a meeting it is likely that they will have difficulty getting a quorum for their re-arranged AGM on 1st February 2025.
I have just been reading the Dee4life board of directors meetings in the Members section of the Dee4life website.
According to the minutes of their board of directors meeting held on 14th October 2024 the meeting was not quorate because only 4 directors out of 8 directors were present and according to the rules a minimum of 50% of the board of directors plus 1 are required for a Dee4life board of directors meeting to be quorate. Therefore they require a minimum of 5 directors at every Dee4life board of directors meeting to be quorate.
This is wrong.
The Dee4life 2018 Model Rules state under Rule 73 that a minimum of 50% of the elected directors or 3 elected directors whichever is the greater is required for a board of directors meeting to be quorate. https://mutuals.fca.org.uk/Documents/Download/17344
Therefore the Dee4life board of directors meeting held on 14th October 2024 was quorate.
The Dee4life board of directors could have easily found this information if the Dee4life Model Rules were published on their new website but they were never transferred over from their previous website.
As a result the 2018 Model Rules have to be obtained from the Financial Conduct Authority website.
I have previously highlighted this problem and other problems with the new Dee4life website such as the minutes of the Dee4life AGM held in November 2023 not being posted on their website but my pleas have fallen on deaf ears.
