Gellaw 101 Ltd
Holding company set up by Mel AND Pearce, both directors.
Owns 100% of pride park stadium,
Accounts overdue.
Now got a Gazette notice to dissolve the company.
Curiouser and curiouser? More and more suspicious? maybe one of our financial experts can shed some light.....
Clowes?
MA - Gellaw 101 Ltd never owned the stadium. it owned DCFC Limited - now compulsorily struck off - and Derby County Stadium Limited which, despite its name, never owned the stadium either.
Gellaw 101 and Derby County Stadium are both under compulsory strike off action: and neither had filed their accounts due 31-03-22 by 31-05-22 which is probably what triggered the strike off.
These companies were owned by Global derby UK Limited and Sevco 5113 Ltd, which was parked in Gellaw Newco 205 Limited following MM buying the club from the yanks.
The stadium is owned by Gellaw Newco 202 Limited at fair value in balance sheet of £ 81.8m and charged to MSD - or at least it was in its latest accounts and since the charge has not been cleared it probably still does.
Gellaw Newco 202 is owned by Gellaw Newco 204 which is owned 100% by MM. This company's accounts are also overdue but no strike off action has been initiated.
CLEAR?
Its complex because the structure spans three ownership issues, albeit that the companies are now dropping like flies with 5 in administration and bout 6 others either struck off or in the process of being struck off.
There are in essence 4 pieces to the puzzle - the ex GSC elements, the first MM structure, the split our club structure and the ground owning structure. As of today the only piece that isn't in one form of rehab or another is the structure owning the ground, and those companies have charges across the ground in favour of MSD.
Its not that the club has been used as a plaything as such - the complexity is a function of the past decade of change in the club - although I wouldnt argue that its roots dont lie in being a plaything. Thing is, the problems are not the result of the corporate structure, they are down to the actions of the directors / owner.
